Terms & Conditions of Service

- Introduction and Acceptance
These Terms and Conditions (“Agreement”) govern the relationship between OVISMEDIA S.R.L. (“Agency”, “We”, “Us”) and the entity or individual engaging our services (“Client”, “You”).
By accessing our website (https://www.ovismedia.eu), requesting a vulnerability audit, or signing a service contract with OvisMedia, you agree to be bound by these terms. If you do not agree, you must not use our services.
- Definitions
- “Project”: The specific web design, development, or security work outlined in the formal proposal or invoice.
- “Deliverables”: The final website, code, graphics, and configurations provided to the Client.
- “OvisMedia Security Standard”: Our proprietary set of protocols for server hardening and DNS configuration.
- Services and Scope of Work
We provide B2B web architecture, security audits, and maintenance services. The specific scope of your project will be detailed in a separate Project Proposal or Invoice.
- Change Orders: Any request for work outside the original scope (e.g., adding extra pages, changing functionality mid-project) will be billed at our standard hourly rate (€100/hour) or quoted separately.
- Client Obligations
To ensure the project is delivered on time, the Client agrees to:
- Provide Content: Supply all text, images, and brand assets within the agreed timeframe. If content is delayed, the project deadline will be extended automatically.
- Approvals: Provide feedback on design drafts within 3 business days.
- Access: Grant OvisMedia necessary access to domain registrars, DNS providers, or hosting accounts if required.
- Fees and Payment Terms
- Deposit: A non-refundable deposit (typically 50%) is required to schedule and begin work.
- Final Payment: The remaining balance is due before the website is deployed to the live server or handed over.
- Late Fees: Invoices not paid within 15 days of the due date may incur a late fee of 1,5% per month.
- No Launch Without Payment: We reserve the right to withhold delivery of the final website and administrative credentials until the balance is paid in full.
- Intellectual Property (Copyright)
- Client Ownership: Upon full payment, the Client owns the visual design, the content, and the specific HTML/CSS/PHP code generated for their unique project.
- Agency Rights: OvisMedia retains the right to display the project in our portfolio and marketing materials.
- Tools & Frameworks: OvisMedia retains ownership of any pre-existing proprietary tools, frameworks, or “base code” used to build the site. The Client is granted a perpetual, non-exclusive license to use these tools for the operation of their website.
- Security and Warranty
- The “OvisMedia Security Standard”: We implement strict security measures (Firewalls, SPF/DKIM, SSL) at the time of launch.
- Limitation: While we use enterprise-grade security, no system is 100% impenetrable. We are not liable for breaches caused by:
- Weak client passwords.
- Compromised client devices (viruses/malware on your PC).
- Third-party plugin vulnerabilities discovered after launch (unless you are on an active Maintenance Plan).
- Social engineering attacks against your staff.
- Limitation of Liability
To the maximum extent permitted by Romanian law, OvisMedia shall not be liable for any indirect, incidental, special, or consequential damages (including lost profits or business interruption) arising out of the use or inability to use the services.
- Cap on Liability: Our total liability for any claim shall not exceed the total amount paid by the Client to OvisMedia for the specific project in question.
- Third-Party Services
We may integrate tools from third parties (e.g., Google Analytics, Cloudflare, LiteSpeed). We are not responsible for service outages, data policies, or changes made by these third-party providers.
- Termination
- By Client: You may cancel the project at any time. The initial deposit is non-refundable. You will be billed for any work completed beyond the deposit amount.
- By Agency: We reserve the right to terminate the agreement if the Client becomes unresponsive for more than 30 days or violates these terms.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Romania. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Sibiu.
